1)Introduction

Pursuant to Paragraph 9.19(19) of the Main Market Listing Requirements (Main LR) of Bursa Malaysia Securities Berhad (Bursa Securities), Telekom Malaysia Berhad (TM) wishes to announce that Multimedia College Sdn. Bhd. (MCSB), a wholly owned subsidiary of Universiti Telekom Sdn. Bhd. which is a wholly-owned subsidiary of TM, has at its Extraordinary General Meeting held on 25 April 2024, obtained approval to commence a Member’s Voluntary Winding Up in accordance with Section 439(1)(b) of the Companies Act, 2016 [CA 2016] (hereinafter be referred to as the “the Winding Up”).

Pursuant thereto, Datuk Mohd Afrizan bin Dato’ Husain of Messrs. Afrizan Tarmili Khairul Azhar PLT, located at No. 2, Jalan Rampai Niaga 2, Rampai Business Park, 53300 Kuala Lumpur has been appointed as Liquidator of MCSB for the purposes of the Winding Up with all the powers to act given by Section 456 of the CA 2016.

2)Information on MCSB

MCSB was incorporated on 8 May 2008 to operate and manage an institution of higher education providing academic, tertiary and professional courses.

The issued and paid up share capital of MCSB is RM2,000,000 comprising 2,000,000 ordinary shares.

MCSB ceased operation and remained dormant since the transfer of its academic programs to Multimedia University (MMU) (operated by Universiti Telekom Sdn. Bhd.) and the surrender of its licenses to the Ministry of Higher Education.

3) Rationale for the Winding Up

The Winding-up exercise of MCSB is part of the rationalisation and streamlining exercise of TM Group.

4) Financial and Operational Impact of the Winding Up

The Winding Up of MCSB will not have any material effect on TM Group.

5) Directors' and Substantial Shareholders' Interest

None of the Directors and Substantial Shareholders of TM or persons connected with them has any interest, direct or indirect, in the Winding Up of MCSB.
