1. Introduction

Pursuant to Paragraph 9.19(19) of the Main Market Listing Requirements (Main LR) of Bursa Malaysia Securities Berhad (Bursa Securities), Telekom Malaysia Berhad (TM) wishes to announce that TM Global Incorporated (TMGI), a wholly owned subsidiary of Telekom Malaysia Berhad, has at its Extraordinary General Meeting held on 31 December 2024, obtained approval to commence a Member’s Voluntary Winding Up in accordance with Section 439(1)(b) of the Companies Act, 2016 [CA 2016](Section 131(1) of the Labuan Companies Act, 1990) [LCA 1990]) (hereinafter be referred to as the “the Winding Up”).

Pursuant thereto, Mr. Tan Chin Fah of Messrs. KBCF Tan, located at 1st Floor, U0510, Lazenda Commercial Centre, Phase II, Jalan Tun Mustapha, 87000 Federal Territory of Labuan has been appointed as Liquidator of TMGI for the purposes of the Winding Up with all the powers to act given by Section 456 of the CA 2016.

2. Information on TMGI

TMGI was incorporated on 22 April 1999 under the LCA 1990 as an investment holding company.

The issued and paid up share capital of TMGI is USD1,000 comprising 1,000 ordinary shares.

The Company has ceased operations and remained dormant.

3. Rationale for the Winding-up

The Winding-up exercise of TMGI is part of the rationalisation and streamlining exercise of TM Group.

4. Financial and Operational Impact of the Winding-up

The Winding-up will not have any material effect on TM Group.

5. Directors’ and Substantial Shareholders’ Interest

None of the Directors and Substantial Shareholders of TM or persons connected with them has any interest, direct or indirect, in the Winding Up.
