With reference to our earlier announcement dated 17 February 2006, TMI, a wholly owned subsidiary of TM has entered into the Share Sale and Purchase Agreement and Shareholders Agreement with Samart Corporation Public Company Limited (“Samart”), a company incorporated in Thailand, for TMI to acquire 1,038,700 ordinary shares, representing 49% equity interest in Casacom and 105 million ordinary shares, representing 24.42% equity interest in SIM. These Agreements will take effect upon Completion, which was subject to approvals from regulatory authorities in Thailand, Cambodia and Malaysia.


We are pleased to announce that all approvals from the regulatory authorities in Cambodia, Thailand and Malaysia have been duly obtained and hence Completion of the said Agreements has taken effect as of this announcement date.

Upon completion, TMI is the legal owner of 100% equity in Casacom and 24.42% in SIM.
