Subject JOINT VENTURE AGREEMENT BETWEEN TM INTERNATIONAL (L) LIMITED, MR ADNAN ASDAR AND MR NASSER KHAN GHAZI

It was stated in our earlier announcement dated 16 February 2005 that TM International (L) Limited (“TMIL”), the wholly owned subsidiary of Telekom Malaysia Berhad (“TM”) has entered into a Joint Venture Deed (the “Agreement") with Mr Adnan Asdar and Mr Nasser Khan Ghazi relating to the investment by TMIL in Multinet Pakistan (Private) Limited (“Multinet”), and that the Agreement will take effect upon Completion, which was subject to approvals from regulatory authorities in Pakistan and Malaysia and lenders of Multinet.


We wish to announce that all approvals from regulatory authorities in Pakistan and Malaysia and from the lenders of Multinet have been obtained on 5 April 2005 and hence the Completion of the Agreement has taken effect on the same date.

Upon completion, TMIL is the legal owner of 78% equity in Multinet.
