Subject MEMBERS’ VOLUNTARY WINDING-UP OF TELEKOM MALAYSIA-AFRICA SDN BHD AND TM CELLULAR (HOLDINGS) SDN BHD
Contents Pursuant to Paragraph 9.19 of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad ("Main LR"), Telekom Malaysia Berhad (“TM”) wishes to announce that the following wholly owned subsidiaries have commenced members' voluntary winding-up on 1 December 2010 (the "Winding-up") in accordance with Section 254(1)(b) of the Companies Act, 1965:-

a) Telekom Malaysia-Africa Sdn Bhd (“TMA”); and
b) TM Cellular (Holdings) Sdn Bhd (“TM Cellular”).

Pursuant thereto, Encik Mohd Afrizan bin Husain of Aftaas Consulting Sdn Bhd, 2, Jalan Rampai Niaga 2, Rampai Business Park, 53300 Kuala Lumpur was appointed as the Liquidators for TMA and TM Cellular.
1) Information on TMA and TM Cellular

a) TMA
        • TMA was incorporated on 16 February 1996 in the name of Telekom-Sri Lanka Ventures Sdn Bhd. Its authorised capital is RM100,000 comprising 100,000 ordinary shares of RM1.00 each, out of which 100,000 ordinary shares of RM1.00 each was fully paid-up to TM. The principal activities of TMA was investment holding.
        • The Company ceased operation since financial year ended 2004 and currently inactive.

b) TM Cellular
        • TM Cellular was incorporated on 22 July 1994 in the name of Telekom Marketing Sdn Bhd. TM Cellular was incorporated to market and provide voice, data, video, wireless multimedia and interactive content and application. Its authorised capital is RM1,000,000 comprising 1,000,000 ordinary shares of RM1.00 each, out of which 100,000 ordinary shares of RM1.00 each was fully paid-up to TM.
    • TM Cellular was inactive since its incorporation.

2) Rationale for the Winding-up

    • The Winding-up exercise of TMA and TM Cellular is part of the rationalisation and streamlining exercise of TM Group.

3) Financial Effects of the Winding-up

The Winding-up will not have any material effect on TM Group.

4) Directors' and Substantial Shareholders' Interest
    • None of the Directors and Substantial Shareholders of TM or persons connected with them has any interest, direct or indirect, in the Winding-up of TMA and TM Cellular.

5) Directors' Opinion on the Winding-up

The Directors of TM are of the opinion that the Winding-up is in the best interest of TM.
