Pursuant to Paragraphs 10.09 of the KLSE Listing Requirements, Telekom Malaysia Berhad (“TM”) hereby discloses the types of recurrent related party transactions of TM and its subsidiaries ("TM Group") in the ordinary course of business which include the provision of telecommunication services, multimedia services, education services, support services and investment holding.


It is anticipated that TM Group would, in the ordinary course of business, enter into transactions with its related parties as set out in the table below, including transactions which are expected to exceed the lower limit of RM1.0 million as prescribed in the KLSE Practice Note No. 12/2001.

The recurrent related party transactions are made in the ordinary course of business on normal commercial terms, which are not more favourable to the related parties than those generally, available to the public.

Substantial shareholder includes any person who is or was within the preceding twelve (12) months of the date on which the terms of the transaction were agreed upon, having an interest or interests, in one or more voting shares in TM (or any other company which is its subsidiary or holding company or a subsidiary of its holding company) and the nominal amount of that share, or the aggregate of the nominal amounts of those shares, is not less than 5% of the aggregate of the nominal amounts of all the voting shares in TM.

The substantial shareholders of TM, as per Register of Members and Record of Depositors, as at 31 January 2002 are as follows:-

The KLSE has granted an exemption to the Company from the requirement to make announcements and obtain shareholders’ approval pursuant to paragraphs 10.08 and 10.09 of the Listing Requirements in respect of RRPTs involving EPF and BNM. The KLSE has also approved the Company’s application for an extension of time, until the date of its next Annual General Meeting, targeted to be held in May 2002, to obtain a general mandate from its shareholders, to enter into RRPT.
