"...Telekom assured TRI that it would make a general offer at RM2.75 per share ..."
With respect to the above statement, Telekom Malaysia Berhad ("TM") wishes to reiterate its stand as highlighted in its announcements to the Kuala Lumpur Stock Exchange ("KLSE") on 7 June 2002 and 25 June 2002.
In the said announcements, TM clarified that it will fulfil its obligations under the Malaysian Code on Takeover and Mergers ("Code") in full without seeking any waiver from such obligations, should it be required to do so under the Code as a result of the business combination of Celcom (Malaysia) Berhad ("Celcom") and TM Cellular Sdn Bhd ("TM Cellular"). In accordance with the Code, should an agreement be executed between TM and Technology Resources Industries Berhad ("TRI") on the business combination by 29 October 2002, the offer price for the mandatory offer by TM on TRI would not be less than RM2.75 per share.
Therefore, the above statement appearing in the New Straits Times on 5 July 2002 is not accurate.
We refer to the above news article appearing in the New Straits Times, Business
Times section, page 7 , on Friday, 5 July 2002, a copy of which is enclosed
for your reference.
In particular, we would like to draw your attention to the underlined sentence,
which is reproduced as follows:-
