Subject | DELETION OF TRI CELLULAR COMMUNICATIONS CAMBODIA CO. ("TRICELCAM") FROM THE CAMBODIAN MINISTRY OF COMMERCE’S TRADE LIST |
Telekom Malaysia Berhad (“TM”) wishes to announce that its wholly owned subsidiary, Technology Resources Industries Berhad (“TRI”), held via Celcom (Malaysia) Berhad has today received a Letter of Confirmation dated 2 October 2006 from the Ministry of Commerce of Cambodia approving the deletion of TRICELCAM, a joint venture company between TRI and Ministry of Posts and Telecommunications of Cambodia (“MPTC”) from the trade list upon the date of signing of the above letter. Consequently, TRICELCAM has ceased to be a subsidiary of TRI from 2 October 2006.
INFORMATION ON TRICELCAM
TRI and MPTC entered into a joint venture agreement and incorporated TRICELCAM in the Kingdom of Cambodia on 20 May 1996 to develop telecommunications service networks in the Kingdom of Cambodia. The equity interest of TRI and MPTC in TRICELCAM was 70% and 30% respectively.
The authorised capital of TRICELCAM was USD5.0 Million comprising of 5,000 ordinary shares of USD1,000 each and its issued capital was USD5.0 Million divided into 5,000 ordinary shares of USD1,000 each.
TRICELCAM has ceased its operation and became inactive since 2000.
FINANCIAL EFFECT
The deletion of TRICELCAM from the trade list will not have any material effect on TM Group’s consolidated earnings for the financial year ending 31 December 2006.
DIRECTORS’ AND SUBSTANTIAL SHAREHOLDER’S INTEREST
In so far as the Directors of TM are aware, none of the Directors nor the major shareholders of TM and/or persons connected to them have any interest, whether direct or indirect, in the deletion of TRICELCAM from the trade list.
