We refer to our announcement on 1 August 2003 wherein it was announced that TESB had despatched the Notice to the dissenting shareholders of Celcom ("Notice") stating TESB's desire to acquire the Celcom Shares held by the dissenting shareholders upon the same terms of the Offer pursuant to Section 34 of the Securities Commission Act, 1993 ("SCA").
In this regard, on behalf of TESB and Telekom, Commerce International Merchant Bankers Berhad is pleased to announce that TESB has, today, compulsorily acquired the remaining Celcom Shares not owned by TESB and the PAC from the dissenting shareholders of Celcom save for 500,000 Celcom Shares which are the subject of an injunction granted by the Syariah Court ("Said Shares"). A notice has been filed with the Syariah Court by the applicant of the injunction to vary the injunction order which would allow the transfer of the Said Shares in favour of TESB.
In accordance with the provisions of Section 34(7) of the SCA, TESB has remitted an amount of RM103,223,505 to Celcom on 17 September 2003 as consideration for the compulsory acquisition of 37,535,820 Celcom Shares.
