Subject MEMORANDUM OF COLLABORATION BETWEEN TELEKOM MALAYSIA BERHAD AND UEM LAND BERHAD TO COLLABORATE AND CO-OPERATE ON THE PROPOSED PLANNING, DEVELOPMENT, OPERATION AND MAINTENANCE OF TELECOMMUNICATIONS INFRASTRUCTURE AND SERVICES for NUSAJAYA, ISKANDAR MALAYSIA (THE “PROJECT”)
Contents We wish to announce that Telekom Malaysia Berhad (TM) has, on 3rd July 2008, entered into a Memorandum of Collaboration (MOC) with UEM Land Berhad (UEML) as an initial step in establishing mutual cooperation and collaboration between the parties and setting out the principle basis and framework of the Project so as to facilitate UEML in realizing its aspiration to establish Nusajaya as a regional city and the key driver of Iskandar Malaysia with world class infrastructure.
INFORMATION ABOUT UEML

UEML was incorporated in Malaysia on 7th October 1982. It is a 71.5% subsidiary of UEM World Berhad and is the flagship company for property business in UEM Group. UEML is the master developer of Nusajaya, positioned to be the largest, premier and fully integrated urban development in South East Asia. Nusajaya is poised to be the heart of Iskandar Malaysia with seven signature developments – Johor State New Administrative Centre (JSNAC), Southern Industrial and Logistics Cluster (SILC), Medical City, Educity, Puteri Harbour, International Destination Resort and Nusajaya Residences – making it the most desired city to work, live and play.

SALIENT TERMS OF THE MOC

The MOC sets out the basic terms of collaboration between TM and UEML in respect of the Project. The salient terms of the MOC are, amongst others, as follows:

  1. UEML to collaborate with TM to jointly explore the opportunities available to both Parties in the Project, in particular in those areas related to telecommunications infrastructure;
  2. The MOC shall be valid and remain in force for a period of one (1) year upon signing unless otherwise terminated by either party giving the other one (1) month’s prior written notice; and
  3. The MOC does not create a legally binding obligation between the parties, save and except for the provision on confidentiality.

FINANCIAL EFFECTS

The entry into this MOC will not have any material impact on the consolidated earnings of TM for the current financial year ending 31 December 2008.

DIRECTORS’ AND SUBSTANTIAL SHAREHOLDERS’ INTEREST 1. Common Major Shareholder
    Khazanah Nasional Berhad is a major shareholder of TM and UEM World Berhad, which is the holding company of UEML.

2. Common Director
    Currently, Dato’ Ir Abdul Rahim Abu Bakar is a Director of TM and UEM World Berhad, the holding company of UEML.

In so far as the Directors of TM are aware, save as disclosed above, none of the Directors nor the major shareholders of TM and/or persons connected to them have any interest, whether direct or indirect, in the MOC.
