Contents | Telekom Malaysia Berhad (“TM”) wishes to announce that it has presented a winding-up petition to the High Court of Malaya at Kuala Lumpur (“Winding-up”), in respect of its 51% subsidiary, Telekom Consultancy Sdn. Bhd. (Company No. 178077-U) (“TCSB”). The Winding-up petition is presented pursuant to Section 217(1)(c) of the Companies Act, 1965 (“CA 1965”) on the ground that it is just and equitable to do so. |
TCSB is a joint venture (JV) company between TM (51%) and Bell Canada International Inc. (49%) (hereinafter referred to as “Bell”) incorporated on 21 January 1989. It was established for the purpose of providing consultancy services in particular telecommunications and engineering services within Malaysia as well as to and from overseas and to promote and sell Customer Automated Services Systems (CASS). Its present authorised and issued and paid-up capital are RM2,000,000-00 comprising 2,000,000 ordinary shares of RM1.00 each and RM1,000 comprising 1000 ordinary shares of RM1.00 each respectively.
