TCSB is a joint venture (JV) company between TM (51%) and Bell Canada International Inc. (49%) (hereinafter referred to as “Bell”) incorporated on 21 January 1989. It was established for the purpose of providing consultancy services in particular telecommunications and engineering services within Malaysia as well as to and from overseas and to promote and sell Customer Automated Services Systems (CASS). Its present authorised and issued and paid-up capital are RM2,000,000-00 comprising 2,000,000 ordinary shares of RM1.00 each and RM1,000 comprising 1000 ordinary shares of RM1.00 each respectively.

Rationale for the Winding-up:

The Winding-up of TCSB was decided based on the following rationale:

1. TCSB had ceased its operation since 1994 and its continued existence means that it will continuously be subject to the corporate regulatory requirements of the CA 1965 and incur operating expenses relating to the same.
2. The failure of TCSBs’ shareholder for the remaining 49% of its shares to comply with her obligations as a member/shareholder, has resulted in TCSB’s inability to comply with its own corporate regulatory requirements of the CA 1965.
