Description | STRIKING-OFF OF A DORMANT COMPANY |
Pursuant to Paragraph 9.19 (24) of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad ("Main LR"), Telekom Malaysia Berhad (“TM”) wishes to announce that its wholly owned subsidiary, TM International (Cayman) Ltd (“TMI Cayman”) had applied for striking-off from the Registrar of Companies of Cayman Island pursuant to Section 156 (2) of Part VI of the Companies Law (as amended) of Cayman Island. If approved, TMI Cayman will be struck off from the Registrar of Companies of Cayman Island on 31 December 2014 and ceased to be a wholly-owned subsidiary of TM with effect from the same date. 1)Information on TMI Cayman TMI Cayman is an exempted company incorporated in the Cayman Islands with limited liability, pursuant to the Cayman Companies Law (Revised) on 22 September 1998. TMI Cayman’s authorised capital is USD50,000 and its issued share capital is USD1.00 held by TM. From the date of incorporation to date, TMI Cayman has yet to be activated and remain dormant. 2)Rationale for the Striking-off The striking-off of TMI Cayman is part of the rationalisation and streamlining exercise of TM Group. 3)Financial Effects of the Striking-off The striking-off of TMI Cayman will not have any material effect on the consolidated earnings and net assets of TM Group. 4)Directors' and Substantial Shareholders' Interest None of the Directors and Substantial Shareholders of TM or persons connected with them has any interest, direct or indirect, in the striking-off of TMI Cayman.
