We refer to the announcements dated 27 March 2014 and 30 September 2014 in relation to the Investment in P1 (“Announcements”). Unless otherwise stated, the definitions used herein shall have the same meanings as set out in the Announcements.

TM wishes to announce that its wholly owned subsidiary, Mobikom, had on 15 September 2015 subscribed to RM622,545,000.00 nominal value of the first tranche issuance of the Convertible Medium Term Note (“CMTN” previously referred to as “CB”) under the CMTN Programme issued by P1. The proceeds of this CMTN subscription will be utilised to fund the implementation of P1’s business plan.

Separately, Mobikom had on 14 September 2015 subscribed to RM37,455,000.00 nominal value of the subsequent tranche of the Exchangeable Medium Term Note (“EMTN”, previously referred to as “EB”) under the EMTN Programme issued by Green Packet Berhad (“GPB”). The proceeds of this EMTN subscription is utilised by GPB to subscribe to the first tranche of CMTN issued by P1.

As a result of Mobikom’s subscription to the CMTNs and EMTNs, TM’s (via Mobikom) shareholding in P1 on a fully diluted basis is 75.1%, while GPB (via Packet One Sdn Bhd) and SK Telecom Co. Ltd (“SKT”) is 18.2% and 6.7% respectively, under the terms of the Investment Agreement. However, TM’s (via Mobikom) shareholding in the ordinary equity of P1 currently remains at 55.3%, subject to further conversion of the CMTNs and/or exchange and conversion of the EMTNs into P1’s Shares.

None of the Directors and major shareholders of TM and/or persons connected to them have any interest, direct or indirect, in the abovesaid transaction.
